ProGlow Referral Agreement

This Referral Agreement (“Agreement”) is between ProGlow (“Referral Service”), located at 4411 Bee Ridge Rd, Suite 181; Sarasota, FL, 34233 and its independent contractors..

1. Purpose

The Referral Service operates a cleaning referral network, connecting clients with independent cleaners. The Contractor desires to receive client referrals in exchange for payment of referral fees, under the terms of this Agreement.

2. Independent Status

The Contractor is an independent business and is not an employee, partner, or agent of the Referral Service.
The Contractor is solely responsible for their own business operations, including but not limited to:

Taxes and insurance
Tools, supplies, and equipment
Setting rates, schedules, and methods of work
Compliance with all applicable laws and regulations

Nothing in this Agreement shall create an employment, joint venture, or partnership relationship.

3. Referral Fees

The Contractor agrees to deposit funds with the Referral Service in advance. Funds will be deducted from the Contractor’s account to pay for referrals.
If the Contractor’s account is overdrawn, referral fees are due within twenty-four (24) hours of the Contractor being successfully referred to a client.
The Referral Service offers three types of referrals:

a. Confirmed Booking Lead
The Referral Service schedules an appointment between the Contractor and the prospective client and provides the Contractor with the client’s contact information, job details, and service address. This is a premium lead type and is billed at $50 per lead.

b. Confirmed Phone Call
The Referral Service schedules a direct phone call between the Contractor and the prospective client and provides the Contractor with the client’s contact information, job details, and service address. This is a premium lead type and is billed at $50 per lead.

c. Opportunity Lead
The Referral Service provides the Contractor with the prospective client’s contact information, job details, and service address. This lead type is billed at $25 per lead.
Contractor acknowledges that the Referral Service does not provide or guarantee jobs. Referral fees apply for each lead provided, whether or not the Contractor ultimately secures the job, and regardless of whether the prospective client hires the Contractor, another provider, or no one at all.

4. Background & Screening

The Contractor agrees to provide proof of a valid background check within the past 12 months.
The Contractor may be required to provide updated background checks annually to remain eligible for referrals.

5. Client Relationship

All services provided to clients are between the Contractor and the client directly.
Referral Service has no control over Contractor’s performance and is not responsible for disputes, damages, or outcomes.
Contractor acknowledges that Referral Service does not guarantee clients, income, or success.

6. Representations & Warranties

The Contractor represents and warrants that:

They are legally authorized to perform cleaning services in their jurisdiction.
They maintain all necessary business licenses, permits, and insurance (if required by law).
They will perform services in a professional and lawful manner.

7. Term & Termination

This Agreement shall remain in effect until terminated by either party with ___ days’ written notice.
Referral Service may terminate immediately for:

Nonpayment of fees.
Fraud, misrepresentation, or misconduct.
Conduct harmful to its business reputation.

8. Indemnification

Contractor shall indemnify, defend, and hold harmless the Referral Service, its owners, and affiliates from claims, damages, or liabilities arising out of Contractor’s actions, negligence, or services provided.
To the maximum extent permitted by law, Referral Service’s total liability under this Agreement shall not exceed the total referral fees paid by Contractor in the past 6 months.
Referral Service shall not be liable for indirect, incidental, or consequential damages.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of __________.

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether oral or written.
